Terms of Service

1. Eligibility and Account Registration

• Age Requirement:You must be at least 13 years old (or 18 years old in jurisdictions such as India where the legal age of majority for data processing is 18) to register an account yourself. If you are a minor under the applicable laws of your jurisdiction, your parent or legal guardian must register the master account, purchase the subscription, and explicitly provision your account on your behalf as the "Crew Owner." All minor users must have their parent or legal guardian agree to these Terms on their behalf.
• Account Creation: You must register using a valid Google Authentication account. You are responsible for maintaining the security of your device and account credentials.
• Accurate Information: You agree to provide accurate, current, and complete information during registration, including your display name and profile picture.

2. Core Service and Acceptable Use

NudgePanda is designed as an opt-in, consent-based utility for families and close friends ("Crews").

• Crew Limits: A standard Crew is strictly limited to a maximum of 6 total members, including the Crew Owner.
• Mutual Consent: You may only invite individuals to your Crew who have explicitly consented to share their location and status with you.
• Prohibited Conduct: You agree NOT to use NudgePanda for:
  • Stalking, harassing, or tracking any individual without their explicit, ongoing consent.
  • Installing the Service on a device belonging to another person without their knowledge (spyware/stalkerware).
  • Reverse engineering, modifying, or using automated scripts to interact with our APIs or bypass our Play Integrity checks.

3. Privacy and Data Sunset

Your use of the Service is also governed by our Privacy Policy.

• The 15-Day Sunset: By using the Service, you acknowledge and agree that all location history, event logs, and Bamboo Pings are permanently and irreversibly deleted from our servers 15 days after they occur.
• Background Location: You acknowledge that the Service requires background location permissions to function properly (e.g., triggering Chill Zone alerts). You can revoke this permission at any time via your device settings, which will suspend those specific features.

4. Subscriptions and Billing (Apple & Google Compliance)

NudgePanda offers a Premium Plan for advanced features. If you choose to upgrade, the following terms apply in accordance with Apple App Store and Google Play policies:

• Auto-Renewal: Premium subscriptions are billed on a recurring basis (monthly or annually). Your subscription will automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.
• Payment Processing: Payment will be charged to your Apple ID or Google Play account at the confirmation of purchase.
• Managing Subscriptions: You can manage and cancel your subscriptions by going to your Account Settings on the App Store or Google Play after purchase. Uninstalling the NudgePanda app will not automatically cancel your subscription.
• Refunds: All refund requests must be handled directly through Apple or Google, subject to their respective refund policies.
• One-Time Passes: NudgePanda may offer non-renewing, limited-duration access passes (e.g., the 7-Day Weekend Pass). These are one-time payments that do not automatically renew. Access will automatically expire at the end of the stated duration.

5. Emergency Nudge Disclaimer

• Not a Replacement for Emergency Services:The "Emergency Nudge" feature is a communication tool designed to alert your Crew. It does not contact police, fire departments, ambulances, or any official emergency services (such as 911 or 112).
• No Guarantee of Delivery: Because the Service relies on internet connectivity, cellular networks, and device battery life, we cannot guarantee that an Emergency Nudge will be delivered immediately or at all. In a true emergency, always contact local authorities directly.
• Operating System Limitations: Background location services and push notifications are heavily regulated by your device’s operating system (iOS or Android). Aggressive battery-saving modes, low power modes, or OS-level task killers may delay or completely prevent the delivery of Chill Zone alerts and Bamboo Pings. NudgePanda is not liable for failures caused by device-level OS restrictions.

6. Account Termination and Deletion

• User-Initiated Deletion:You may terminate these Terms at any time by deleting your account directly within the app (Settings > Account > Delete Account). This will immediately remove you from all Crews and permanently delete your profile data.
• Company-Initiated Termination: We reserve the right to suspend or terminate your account immediately, without prior notice, if we determine that you have violated these Terms, engaged in abusive behavior, or utilized modified/unauthorized devices.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, entirely secure, or error-free, nor do we guarantee the absolute accuracy of the location data or Diagnostic Panda status updates.

8. Limitation of Liability

To the maximum extent permitted by applicable law, NudgePanda shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use or inability to use the Service. In no event shall NudgePanda's total liability to you for all claims arising out of or related to the Service exceed the total amount paid by you to NudgePanda during the twelve (12) months immediately preceding the claim, or one hundred US dollars ($100.00), whichever is greater.

9. Dispute Resolution and Class Action Waiver

Please read this section carefully as it affects your legal rights. You and NudgePanda agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be brought only in your individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator or court may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

10. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Mumbai, Maharashtra, India, and you hereby consent to the personal jurisdiction and venue therein.
